TERMS OF USE

Andrey Vladimirovich Gavrilin (Tax ID 731500619656), a self-employed individual applying the "Professional Income Tax" special tax regime—hereinafter referred to as "Waybill"—hereby offers to enter into this User Agreement (hereinafter the "Agreement") with an unlimited number of persons using the information resource hosted on the Internet at: https://way-bill.ru/.
This Agreement constitutes a public offer in accordance with Clause 2 of Article 437 of the Civil Code of the Russian Federation. Pursuant to Article 438 of the Civil Code of the Russian Federation, the performance of the actions set forth in the Agreement constitutes acceptance of the terms of this Agreement. The contract concluded through acceptance of this offer does not require a bilateral signature and is valid in electronic form.
The text of this public offer is published on the Internet at: https://way-bill.ru/. Waybill reserves the right to amend this public offer at any time. The terms of the public offer may not be modified except by publishing the amended document on the website.

Terms and Definitions
The following terms and definitions apply in this User Agreement and in the relationships between the Parties arising from or related to it:
The Parties use the specified terms with the following meanings:
Acceptance – full and unconditional acceptance of this public offer is deemed to occur at the moment the User actually begins using the Service.
Company – a legal entity, a natural person with legal capacity, or an individual entrepreneur that has entered into the Agreement by accepting the terms contained in this offer.
User – a visitor to Internet resources who has access to the Service and the Mobile Application pursuant to separate agreements. Service – an integrated information resource (website) on the Internet, hosted at https://way-bill.ru/ and owned by Waybill, accessible from various user devices connected to the Internet via specialized web-browsing software.
Personal Account – data hosted on the Website with restricted access, granted to the User for a specific fee.
Account Credentials – the User’s unique identifiers: a login (email address) and a password, specified by the User during registration on the Website.
Registration – the free process of completing an electronic form located on the Service, required to gain access to the Service’s functions. The Registration procedure is performed by the User independently.
Information – any materials and information provided by the Company under the Agreement.
Non-exclusive License – the provision, free of charge, of a non-exclusive right to use the Service via remote access by displaying the Service interface and/or Service page on a technical device using a browser, following User authorization via Account Credentials.

Subject of the Agreement
2.1. Under the Agreement, Waybill grants the User free access to the Service under a non-exclusive, non-transferable license. The territory of the granted rights covers all countries worldwide. The term of the granted rights is limited to the duration of the Agreement and the validity of Waybill’s exclusive rights regarding the Service.
2.2. Waybill confirms that it holds all exclusive rights to the Service or licenses to use specific components of the Service, including the results of intellectual activity—such as program code, design works, and texts—as well as means of individualization (trade name, trademarks, service marks, commercial designations).
2.3. By accepting this Agreement, the User confirms that they have reviewed its terms and conditions and that these terms and conditions are understood.
2.4. The text of this Agreement is available on the website https://way-bill.ru/. Waybill reserves the right to amend this Agreement at any time. The terms of the Agreement may only be modified by publishing the amended document on the Service.

Registration on the Website
3.1. Registration is deemed complete at the moment the User submits the completed electronic form via the Service.
3.2. Before submitting the electronic form, the User must review the provisions of the Agreement, as well as the Personal Data Processing Policy and the Privacy Policy available on the Service.
3.3. The User represents and warrants that:
3.3.1. The personal data provided during Registration is current and accurate and does not belong to a third party.
3.3.2. The terms of the Agreement and the texts of the Personal Data Processing Policy and the Privacy Policy are understood and accepted in full.
3.4. Waybill reserves the right to establish a registration confirmation procedure and to impose requirements regarding User Account credentials to ensure account security.
3.5. The User bears personal responsibility for the security and resistance to unauthorized access by third parties of the password chosen by the User, and is solely responsible for maintaining its confidentiality. The User undertakes not to disclose the Account credentials provided during Registration to third parties.
3.6. The User confirms that any actions performed using their account (including, without limitation, clicking buttons to confirm acceptance of any agreements and rules) shall be deemed authorized by the User, unless proven otherwise.
3.7. Waybill reserves the right to verify the data provided by the User for compliance with Clause 3.3.1 of this Agreement. If Waybill determines that the data provided by the User does not comply with Clause 3.3.1 of this Agreement, Waybill reserves the right to deny the User access to the Personal Account and/or to block access to the Personal Account.

Terms of Use of the Service
4.1. Waybill’s obligations regarding the granting of a non-exclusive license shall be deemed fulfilled at the moment the Service is loaded onto the User’s device.
4.2. Use of the Service does not entail the transfer of rights to the Service or any of its components. The User is granted a limited right to use the Service in accordance with the terms of the Agreement.
4.3. Access to the Service is provided on a 24-hour basis, except during periods of maintenance or technical work.
4.4. Waybill reserves the right to perform server maintenance, temporarily suspending access to the Service for this purpose. Waybill shall notify the User of maintenance work via a notification within the Service or by email. Maintenance work shall, whenever possible, be carried out during evening or night hours and/or on weekends.
4.5. Waybill reserves the right to modify or release updates to the Service, add new software features or functionalities that enhance performance or otherwise improve characteristics, or remove specific functionality.
4.6. Waybill reserves the right to block the User's access to their Personal Account and impose other restrictions on the use of the Service if Waybill has reasonable grounds to believe that the User is violating the terms of this Agreement.
4.7. Waybill reserves the right to impose restrictions on the use of the Service for certain categories of Users based on factors including, but not limited to, the User's location, the language in which the Service is provided, and the maximum volume of data that may be transmitted by the User via the Service.
4.8. Waybill is not obligated to verify the content of any information transmitted by the User through the Service.
4.9. Waybill reserves the right to terminate this Agreement with the User and refuse performance thereunder in the event of the User's failure to comply with the terms of this Agreement. Waybill also reserves the right to unilaterally amend the text of this Agreement at any time.
4.10. When using the Service, the User has the right to:
4.10.1. Access the Service around the clock, except during periods of maintenance or technical work.
4.10.2. Use the Service within the limits defined by this Agreement.
4.11. When using the Service, the User is prohibited from:
4.11.1. Using the Service in a manner not expressly provided for in the Agreement, or using the Service or parts thereof beyond the term of the Agreement.
4.11.2. Distributing, copying, or otherwise making the software publicly available.
4.11.3. Granting sublicenses to third parties for any use of the Service or parts thereof.
4.11.4. Use the Service to engage in activities similar to those of Waybill.
4.11.5. Upload any malicious software that damages, interferes with, intercepts, misappropriates, or otherwise compromises the integrity of software or hardware systems associated with the Service or the personal information of other Users.
4.11.6. Use intellectual property hosted on the Service without Waybill’s prior written consent.
4.12. The Parties acknowledge the legal validity of emails (documents sent via email) and recognize them as equivalent to paper documents bearing a handwritten signature, given that only the Parties themselves and their authorized representatives have access to the relevant communication channels (email addresses). The Parties have agreed that no formal act regarding the granting of the non-exclusive license shall be executed.

Liability of the Parties and Dispute Resolution
5.1. Waybill makes every reasonable effort to ensure the functionality of the Service; however, it does not guarantee constant availability, uninterrupted and timely provision, security, accuracy, or error-free operation of the Service. The User’s sole remedy in the event of in connection with the aforementioned problems is the immediate cessation of the use of the Service.
5.2. The Service is provided to the User on an "as is" basis, in accordance with the principle generally accepted in international practice. Waybill bears no responsibility for problems arising during the installation, updating, support, or operation of the system (including, but not limited to, compatibility issues with other software products—such as packages, drivers, etc.—or the failure of the Service’s results to meet the User’s expectations).
5.3. The User acknowledges full responsibility for any potential negative consequences resulting from the Service’s incompatibility or conflicts with other software products installed on the User’s computer or other device. The Service is not intended for, and may not be used in, information systems operating in hazardous environments or supporting life-support systems where a failure of the Service could pose a threat to human life or health or result in financial losses.
5.4. Waybill bears no liability whatsoever—whether based on contract or tort—regardless of whether the User was notified of the possibility of such issues or damages arising from or in connection with the User’s use of the Service; this includes, without limitation, damages resulting from:
5.4.1. The User downloading or otherwise obtaining data via the Service. No recommendations received by the User from Waybill, whether oral or written, create any warranties.
5.4.2. Disclosure to third parties of information contained in the User’s Personal Account, where such disclosure did not occur through the fault of Waybill.
5.4.3. Waybill performing maintenance work on the Service, resulting in a temporary suspension of the User’s access to the Service.
5.4.4. The User provides inaccurate information via the Service or to Waybill employees, whether orally or in writing.
5.5. The User is solely responsible for the security of their Account Credentials and for any losses that may arise from their unauthorized use.
5.6. No recommendations received by the User from Waybill, whether orally or in writing, create any warranties.
5.7. In the event of a dispute between the User and Waybill arising from this Agreement, a mandatory pre-litigation claim procedure applies.
5.8. The User has the right to submit a written, substantiated claim to Waybill if they believe Waybill is violating the terms of this Agreement. Claims that do not allow for the identification of the User will not be considered.
5.9. Waybill has the right to submit a written, substantiated claim to a User who, in Waybill’s opinion, is violating the terms of this Agreement.
5.10. The time limit for reviewing a claim is 15 (fifteen) calendar days from the date of its receipt by the addressee.
5.11. If a dispute arising from this Agreement is not resolved through the claim procedure, the dispute shall be heard in a court located at Waybill’s place of business.

Confidentiality and Security
6.1. Waybill is committed to protecting privacy and confidential information. Waybill stores and processes information provided by the User in strict adherence to the Personal Data Processing Policy available on the Service, and in accordance with the requirements of Federal Law No. 152-FZ "On Personal Data" dated July 27, 2006.

Communications
7.1. Waybill respects each User's right to receive only those informational messages to which they have consented. When distributing such informational messages, Waybill adheres to the consent regarding the receipt of news and promotional mailings and the associated processing of personal data on the Service, in accordance with the requirements of Federal Law No. 38-FZ "On Advertising" dated March 13, 2006.

Term of the Agreement and Procedure for Termination
8.1. The Agreement enters into force on the date of acceptance and remains in effect until terminated by the Parties.
8.2. The User undertakes to independently monitor changes to this Agreement by periodically reviewing the current version, at least once a month. The User is solely responsible for any consequences arising from a failure to review the Agreement and its annexes.
8.3. If the User does not agree with any provision of the Agreement and/or its annexes, they must immediately cease using the Service.
8.4. Upon termination of this Agreement, all licenses and rights to use the Service immediately cease to be valid. Termination of the Agreement does not affect the User's obligations to Waybill imposed by the terms of this Agreement that are intended to survive termination to a reasonable extent.

Miscellaneous Provisions
9.1. The non-exclusive license granted under the Agreement extends to all subsequent updates.
9.2. This Agreement between Waybill and the User comprehensively governs the User's use of the Service, including all Service features, and supersedes any prior written or oral agreements regarding the subject matter hereof.
9.3. If any provision of this Agreement or part thereof is found to be unenforceable by any judicial or administrative body of competent jurisdiction, such provision or part thereof shall be severed from this Agreement without affecting the validity, effectiveness, or enforceability of the remaining provisions of this Agreement.
9.4. Any failure or delay by Waybill in exercising its legal rights or claims for damages under this Agreement shall not constitute a waiver of such rights by Waybill.
9.5. The section headings in this Agreement are for reference purposes only and do not define, limit, or interpret the content of the respective sections in any way.
9.6. This Agreement is governed by the laws of the Russian Federation.
